SpaceX (SPCX) Ownership Structure: Breaking Down the Largest Shareholders Post-IPO
Key Takeaways
- Elon Musk maintains ownership of 6.4 billion SpaceX shares, representing 48.4% of total outstanding equity
- Alphabet’s position consists of 551 million shares valued at approximately $77 billion based on recent trading prices
- Nvidia maintains a strategic holding of 123 million shares, accounting for slightly less than 1% of total stock
- Major institutional investors including Fidelity, BlackRock, Baillie Gifford, and Ontario Teachers’ Pension Plan collectively own over 455 million shares
- Potential Tesla-SpaceX combination could provide Musk an accelerated path to his $1 trillion compensation arrangement
When SpaceX completed its historic initial public offering on June 12 at $135 per share, the company entered a new chapter. Now, recently submitted second-quarter regulatory documents have pulled back the curtain on the ownership landscape.
These disclosures paint a picture featuring technology powerhouses, investment management firms, and one overwhelmingly dominant stakeholder.
Musk Maintains Commanding Position
Elon Musk maintains control over 6.4 billion SpaceX shares, representing 48.4% of the company’s total outstanding equity. When the second quarter concluded, this position carried a valuation approaching $1.1 trillion. Following recent price movements to $140, that valuation has contracted to approximately $900 billion.
When factoring in his Tesla ownership, Musk’s aggregate wealth totals around $1.1 trillion. His trillionaire standing remains secure provided SpaceX shares maintain levels above approximately $120, contingent on Tesla stock stability.
Restrictions prevent Musk from liquidating his SpaceX position until June 2027, and such a transaction appears improbable.
Technology and Financial Giants Stake Their Claims
Alphabet revealed ownership of 551 million SpaceX shares in its regulatory submission. At second-quarter conclusion, with shares trading at $171, this holding was valued around $94 billion. Current market prices near $140 place the stake’s worth at roughly $77 billion.
Nvidia maintains 123 million shares, constituting just under 1% of outstanding equity. The chipmaker supplies substantial GPU quantities to SpaceX. The February integration of SpaceX with Musk’s artificial intelligence venture, xAI, adds strategic significance to Nvidia’s investment.
Major financial institutions Fidelity, BlackRock, Baillie Gifford, and the Ontario Teachers’ Pension Plan represent substantial ownership interests. Their combined holdings exceed 455 million shares.
The company’s IPO involved selling approximately 556 million shares, supplemented by an additional 83 million through an underwriter over-allotment mechanism. This represented a modest fraction of the 13.2 billion total shares outstanding.
Lockup Periods Continue Expiring
Following SpaceX’s second-quarter earnings disclosure, approximately 912 million shares became eligible for trading. An additional 319 million shares are set to unlock during the current week. Before 2025 concludes, roughly 4.2 billion shares will have completed their lockup periods, encompassing the majority of non-Musk holdings.
Share prices declined below $105 during August, partially attributed to investor concerns regarding potential selling pressure from early backers once lockup restrictions lifted.
Space Exploration Technologies Corp., SPCX
Separately, the Wall Street Journal disclosed that Tesla’s shareholder-ratified $1 trillion compensation structure for Musk includes provisions potentially activated through a Tesla-SpaceX combination. Such a transaction, if structured appropriately, could eliminate critical performance milestones currently separating Musk from that compensation.
During Monday’s premarket session, SpaceX stock traded at $141.63, representing a 1.2% increase, while S&P 500 futures advanced 0.2%.
