For months, Qualcomm’s CEO Cristiano Amon had been hinting at a significant partnership with a major cloud infrastructure provider. On Tuesday, September 8, the identity was finally disclosed: Amazon.
The chip manufacturer Qualcomm (QCOM) and e-commerce giant Amazon (AMZN) revealed a comprehensive partnership spanning multiple generations to develop specialized AI processors and advanced optical networking infrastructure for Amazon Web Services facilities. Shares of QCOM climbed over 9% before the market opened, touching 10% gains during trading hours.
Prior to this announcement, the equity had declined approximately 1% year-to-date in 2026, with a summer recovery only partially compensating for setbacks linked to softer mobile device sales.
The collaboration encompasses tailored semiconductor solutions designed for AI inference workloads, extending across several chip generations. Additionally, it incorporates optical connectivity technology supporting speeds up to 1.6 terabits per second, leveraging capabilities Qualcomm obtained via its $2.4 billion Alphawave Semi acquisition completed in December 2025.
Beyond manufacturing for Amazon, Qualcomm will broaden its utilization of AWS cloud services, including Amazon Bedrock, to accelerate semiconductor development processes. The arrangement creates a reciprocal customer-supplier relationship between both corporations.
Understanding the Warrant Agreement
The financial mechanics of this deal present notable intrigue. Qualcomm is granting Amazon a warrant permitting acquisition of up to 25 million QCOM shares at an exercise price of $161.26 per share. The total value reaches approximately $4 billion. An initial tranche of 3.75 million shares becomes immediately exercisable, with the warrant maintaining validity through 2036.
For complete warrant vesting, Amazon would need to allocate up to $60 billion toward Qualcomm products and services throughout a 10-year period. Bernstein observed the agreement provides Qualcomm with substantial confidence in achieving its financial objectives, though analysts noted the arrangement doesn’t seem to represent additional revenue beyond current projections.
This framework resembles AMD’s arrangement with OpenAI, where AMD issued a warrant covering up to 160 million shares tied to a multi-gigawatt semiconductor supply agreement.
Challenging Broadcom and Marvell’s Dominance
The custom AI processor market remains concentrated among a limited group of companies. Broadcom and Marvell currently dominate the majority of hyperscaler custom silicon projects.
Amazon’s current Trainium processors already incorporate Marvell components for certain manufacturing and interconnect functions. Industry analysts at SemiAnalysis have identified Marvell as potentially vulnerable if Amazon chooses to diversify its chip supplier base.
This partnership also provides Qualcomm with strategic positioning as it works to decrease dependence on smartphone business. The Apple modem supply agreement, historically Qualcomm’s largest individual revenue stream, concludes in March 2027.
Qualcomm has established an objective exceeding $15 billion in data center revenue by fiscal 2029, compared to approximately $5 billion anticipated for fiscal 2027. Last June, the company elevated its fiscal 2029 non-handset revenue goal to $40 billion from a previous $22 billion target.
Industry forecasts indicate ASIC-based AI servers will comprise 27.8% of total AI server shipments in 2026, representing nearly triple the expansion rate of GPU-based servers.
Bernstein maintains its $165 price target with a Market Perform rating. Baird elevated its target to $400 while keeping an Outperform rating. Rosenblatt launched coverage with a Buy rating and $235 target. The stock is currently trading at $174.09.
