Paramount Skydance (PSKY) Stock Climbs as High Court Orders Response in Merger Dispute

Shares of Paramount Skydance (PSKY) received an unexpected lift on Thursday after the nation’s highest court took action in the ongoing legal dispute over the company’s proposed combination with Warner Bros. Discovery. The entertainment stock advanced nearly 1.5% during the trading session’s closing moments, after starting the day at $10.22.
Paramount Skydance Corporation Class B Common Stock, PSKY
The justices directed a coalition of 12 states, primarily spearheaded by California’s Attorney General Rob Bonta, to file a response within a 14-day window to objections raised by Iowa and Montana. The two challenging states contend that because federal regulators have already greenlit the transaction and 38 states chose not to contest it, the group of 12 lacks legal authority to prevent the deal from proceeding.
While the Supreme Court has yet to approve Iowa and Montana’s Motion For Leave to File a Bill of Complaint, it has also refrained from rejecting it outright. This strategic positioning keeps alive the possibility that the legal maneuver could eliminate what has proven to be the most stubborn roadblock preventing the merger’s completion.
Over the trailing 12 months, PSKY has surrendered 41.47% of its market value, trading between a low of $7.62 and a peak of $20.86. The equity’s 50-day moving average currently stands at $9.62, compared to its 200-day moving average of $10.14.
Major Institutions Continue Accumulating Shares
Even amid the stock’s challenging performance, institutional investors continue to show confidence. Wellington Management Group established a brand-new position during the second quarter, purchasing 327,700 PSKY shares representing an investment of roughly $3.23 million.
Additional institutional players have expanded their allocations as well. Pittenger and Anderson increased its stake by 18% in the first quarter. Huntington National Bank more than doubled its exposure in the fourth quarter, expanding holdings by 108.2%. Collectively, institutional investors and hedge funds currently control 73% of the company’s shares outstanding.
Strong Quarterly Performance Fails to Sway Street Sentiment
Paramount’s latest quarterly disclosure offered shareholders a positive data point. The media conglomerate posted second-quarter earnings per share of $0.18, surpassing the Street’s $0.15 projection by $0.03. Quarterly revenue registered at $6.91 billion.
The corporation also announced a $0.05 per share quarterly dividend distribution, scheduled for October 1st payment to shareholders of record on September 15th. This translates to an annualized yield of 2%, with a dividend payout ratio of 68.97%.
Wall Street analysts have largely maintained their cautious stance. Benchmark maintained its Buy recommendation but lowered its price objective from $19 to $16. UBS preserved its Sell rating while reducing its target from $10 to $8. TD Cowen similarly decreased its target from $13 to $8 while keeping a Hold stance. Arete Research reaffirmed a Sell rating with a $2.00 price target. The street consensus remains at “Reduce” with a mean price target of $11.38. Analysts project full-year earnings per share of $0.56 for the current fiscal period.
