Acquisition Expands Global Supply Capabilities
USAR agreed to acquire 100% of Serra Verde through cash and stock consideration. The transaction includes $300 million in cash and newly issued shares. USAR values the deal at approximately $2.8 billion.
The acquisition gives USAR control of the Pela Ema mine in Brazil. This asset produces critical rare earth elements used in advanced technologies. As a result, USAR gains access to large-scale heavy rare earth production.
Serra Verde began production in 2024 after significant capital investment. The operation remains one of the few outside Asia producing key magnetic elements. USAR strengthens supply security across global markets.
Financial Strength and Growth Outlook
USAR expects Serra Verde to deliver strong financial performance after integration. The company projects annual EBITDA between $550 million and $650 million by 2027. Additionally, USAR targets long-term EBITDA of about $1.8 billion by 2030.
The deal structure combines equity issuance and cash deployment to maintain flexibility. USAR expects improved cash flow supported by long-term supply agreements. These agreements include pricing floors that reduce revenue volatility.
USAR also benefits from a $565 million financing package supporting expansion efforts. This funding enables operational optimization and future production scaling. Therefore, USAR improves its balance sheet strength and growth capacity.
Strategic Positioning and Industry Impact
USAR advances its goal of building a fully integrated rare earth platform. The company now operates across mining, processing, and magnet production segments. As a result, USAR enhances its competitive positioning globally.
The combined platform supports growing demand from energy and defense sectors. In addition, USAR strengthens partnerships with government-backed initiatives and allied markets. This alignment increases long-term strategic relevance.
USAR also plans to scale production through future expansion phases. The company targets higher output levels and broader downstream capabilities. USAR positions itself as a key player in global rare earth supply chains.
